This Beta Tester Agreement ("Agreement") is between you ("Beta Tester", "you") and Ubiquilife or its related entity operating the Ubiquilife platform ("Ubiquilife", "we", "us", "our"), and governs your participation in the Ubiquilife beta programme (the "Beta Programme").
By ticking "I agree" below and proceeding with signup, you accept this Agreement. If you do not accept, do not proceed.
1. Definitions
Beta Software means any Ubiquilife software, feature, interface, document, design, dataset, roadmap, screenshot, architectural detail, or service made available to you as part of the Beta Programme, whether marked as "beta" or not, and which has not reached Public Release.
Confidential Information means all non-public information relating to the Beta Software or Ubiquilife's business, including without limitation: source code, binaries, user interfaces, feature behaviour, bugs, performance characteristics, pricing, roadmaps, commercial strategy, internal documentation, screenshots, recordings, telemetry, and any communications with Ubiquilife or other beta testers about the Beta Programme.
Public Release means, in respect of a specific feature, product, or body of Beta Software, the date on which Ubiquilife publicly announces that feature, product, or body of software as generally available through an official Ubiquilife channel (such as a press release, blog post, or public product listing).
Beta Data means any data you create, upload, enter, import, generate, or cause to be stored within the Beta Software.
Personal Data means any information which identifies or is capable of identifying a natural person.
2. Grant of Access
Ubiquilife grants you a personal, non-transferable, non-exclusive, revocable licence to access and use the Beta Software solely for the purpose of testing, evaluating, and providing feedback to Ubiquilife. This licence confers no ownership rights and does not permit commercial use, resale, or any form of external exploitation.
3. Free Beta — No Consideration
Participation in the Beta Programme is provided free of charge. You are not paying Ubiquilife, and Ubiquilife is not paying you. No wages, fees, royalties, or other consideration are payable by either party for participation.
4. Confidentiality
4.1 Obligation
You will hold all Confidential Information in strict confidence. You will not, without the prior written consent of Ubiquilife:
(a) disclose any Confidential Information to any third party, whether in whole or in part;
(b) publish, post, blog, tweet, stream, upload, or otherwise make Confidential Information available in any public or semi-public forum;
(c) share screenshots, recordings, source code, or any reproduction of the Beta Software;
(d) discuss feature behaviour, bugs, roadmaps, or pricing with persons outside the Beta Programme; or
(e) use Confidential Information for any purpose other than providing feedback to Ubiquilife.
4.2 Scope — Nothing is Currently Publicly Released
You acknowledge that, as at the date of your acceptance of this Agreement, no Ubiquilife product, feature, or body of software has reached Public Release. Accordingly, the entirety of the Beta Software you encounter is Confidential Information, and nothing may be disclosed.
4.3 Release-Based Lifting of Confidentiality
Your confidentiality obligation in respect of a specific feature or body of Beta Software ends when, and only when, that specific feature or body reaches Public Release. After Public Release of a feature:
(a) you may freely discuss and share information about that feature's publicly released functionality; but
(b) you must continue to keep confidential:
(i) any feature, capability, product, or detail that has not yet reached Public Release, even if other parts of the same product line have been publicly released;
(ii) any bug, vulnerability, internal behaviour, or non-public performance characteristic of a publicly released feature that Ubiquilife has not itself publicly disclosed;
(iii) any pre-release version of a feature, including earlier iterations, prototypes, drafts, or alternative designs; and
(iv) any commercial, pricing, roadmap, or strategic information that has not itself been publicly released.
For clarity: Public Release of Product A does not lift confidentiality for Product B, nor for unreleased features within Product A.
4.4 Exceptions
Clause 4.1 does not apply to information which:
(a) is or becomes publicly known through no fault or act of yours;
(b) was lawfully in your possession without a duty of confidentiality prior to receipt from Ubiquilife;
(c) is independently developed by you without use of or reference to Confidential Information; or
(d) is required to be disclosed by law, court order, or regulatory authority, in which case you will, where legally permitted, notify Ubiquilife in advance so Ubiquilife can seek protective measures.
5. Beta Data — No Obligation to Preserve or Return
5.1 Provisional by Nature
All Beta Data is provisional and exists solely for the purpose of testing the Beta Software. You must not treat the Beta Software as a system of record.
5.2 Right to Delete Without Notice
Ubiquilife may, at any time, without notice, without reason, and without liability:
(a) delete all or any Beta Data;
(b) delete your beta account and any credentials, profile, organisation, or settings associated with it;
(c) reset, wipe, archive, or rebuild any database, file store, cache, or service containing Beta Data;
(d) disable, suspend, or revoke access to any Beta Software or related service;
(e) terminate the Beta Programme in whole or in part.
5.3 No Obligation Owed
You acknowledge and agree that:
(a) Ubiquilife owes you no data, no continuity, no backup, no export, no restoration, and no retention of any kind;
(b) you should not store any information in the Beta Software that you are not prepared to lose;
(c) Ubiquilife has no obligation to provide you with a copy of, or access to, any Beta Data before, during, or after deletion;
(d) Ubiquilife will not be liable for any loss, destruction, corruption, or unavailability of Beta Data, howsoever caused.
5.4 Personal Data
You must not upload Personal Data of third parties into the Beta Software without a lawful basis for doing so. You are solely responsible for the lawfulness of any Personal Data you upload. You acknowledge that such data may be deleted at any time under clause 5.2.
6. No Warranty — As-Is, As-Available
The Beta Software is provided "as is" and "as available", with all faults and without warranty of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by law. Ubiquilife disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and any warranty arising out of a course of dealing or usage of trade.
To the extent permitted by the Australian Consumer Law, you acknowledge that the Beta Software is not acquired for personal, domestic, or household use. Where any statutory guarantee cannot be excluded, Ubiquilife's liability for breach of that guarantee is limited, at Ubiquilife's option, to the re-supply of access to the Beta Software or payment of the cost of re-supply.
7. Limitation of Liability
To the maximum extent permitted by law, Ubiquilife's total aggregate liability to you arising out of or in connection with this Agreement or the Beta Software, whether in contract, tort (including negligence), statute, or otherwise, is limited to one hundred Australian dollars (AUD $100).
In no event will Ubiquilife be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation lost profits, lost data, lost goodwill, loss of use, or business interruption, even if advised of the possibility of such damages.
8. Feedback Licence
You grant Ubiquilife a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable, assignable licence to use, reproduce, modify, create derivative works of, distribute, publicly perform, publicly display, and commercialise any feedback, bug report, idea, suggestion, proposal, improvement, or observation you provide in connection with the Beta Programme, without attribution, compensation, or accounting to you.
9. Intellectual Property
All intellectual property rights (including copyright, patents, trade marks, designs, and trade secrets) in and to the Beta Software, and in any derivative works, updates, improvements, or new versions, remain the exclusive property of Ubiquilife and its licensors. Nothing in this Agreement transfers any ownership interest in the Beta Software to you. You obtain only the limited licence expressly granted in clause 2.
10. Security
You are solely responsible for the security of any credential (including passkeys, passwords, and recovery codes) you register or use during the Beta Programme. You must not share credentials with any other person. You will notify Ubiquilife promptly of any suspected compromise of a credential or unauthorised access to your account.
11. No Obligation to Release
Ubiquilife is under no obligation to release any Beta Software, feature, or product publicly, or to continue development of any Beta Software. Ubiquilife may at any time discontinue, modify, rewrite, replace, or remove any Beta Software.
12. Term and Termination
This Agreement commences on your acceptance and continues until terminated. Ubiquilife may terminate your access to the Beta Programme at any time, for any reason or no reason, without notice and without liability. You may stop using the Beta Software at any time.
On termination for any reason, the provisions of clauses 4 (Confidentiality), 5 (Beta Data), 6 (No Warranty), 7 (Limitation of Liability), 8 (Feedback Licence), 9 (Intellectual Property), 12, 13, and 14 survive.
The confidentiality obligations in clause 4 survive termination for a period of five (5) years, except in respect of any specific feature that reaches Public Release during or after that period, in which case confidentiality for that specific feature ends on its Public Release (subject to the carve-outs in clause 4.3(b)).
13. Governing Law and Jurisdiction
This Agreement is governed by, and will be construed in accordance with, the laws in force in the State of Queensland, Australia, and the laws of the Commonwealth of Australia where applicable, without regard to conflict-of-laws principles.
Each party irrevocably submits to the exclusive jurisdiction of the courts of the State of Queensland and the courts of appeal from them, and waives any right to object to proceedings being brought in those courts on the basis of venue or forum non conveniens.
14. General
Entire agreement. This Agreement is the entire agreement between you and Ubiquilife in relation to the Beta Programme and supersedes any prior representations, understandings, or agreements.
Amendment. No amendment of this Agreement is effective unless made in writing and signed (electronically or otherwise) by Ubiquilife.
Waiver. No failure or delay by Ubiquilife to exercise any right under this Agreement operates as a waiver of that right.
Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions continue in full force and effect, and the invalid or unenforceable provision will be read down or severed to the minimum extent necessary.
Assignment. You may not assign or transfer this Agreement or any rights under it. Ubiquilife may assign this Agreement to an affiliate or to a successor in connection with a corporate restructure, merger, or sale of business.
No partnership. Nothing in this Agreement creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and Ubiquilife.
Notices. Ubiquilife may give you notice under this Agreement by email to the address associated with your beta account, or by posting a notice on the Beta Programme site.
15. Acknowledgement
By ticking "I agree" and proceeding, you confirm that:
(a) you have read, understood, and accept this Agreement;
(b) you accept that the Beta Software, your beta account, and all Beta Data may be deleted at any time, without notice, without reason, without compensation, and without any obligation owed to you;
(c) you accept that nothing in the Beta Programme is currently publicly released, and therefore nothing you see or experience may be disclosed;
(d) you understand that confidentiality obligations lift on a feature-by-feature basis as each specific feature reaches Public Release, and never before, and that bugs, internal behaviour, roadmaps, and unreleased iterations remain confidential even after a feature is publicly released;
(e) you accept that participation is free, that Ubiquilife owes you no data, no continuity, and no warranty, and that the Beta Software is provided on an "as is" basis;
(f) you are at least 18 years of age (or the age of majority in your jurisdiction, if higher) and have full legal capacity to enter into this Agreement; and
(g) you are entering into this Agreement in your personal capacity, or on behalf of a business entity with authority to bind that entity.
